Past performance is not indicative of future results. While we showcase client success stories and potential outcomes, actual results may vary significantly based on numerous factors including but not limited to:

• Cost of substitute goods or services
• Any other intangible losses

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if ScriptsHub has been advised of the possibility of such damages.

5.2 Aggregate Liability Cap

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF:

• The amounts actually paid by you to ScriptsHub in the twelve (12) months preceding the claim; or
• One Hundred United States Dollars (USD $100.00)

5.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights.

• WARRANTIES OF TITLE AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICES WILL MEET YOUR REQUIREMENTS
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• WARRANTIES THAT THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE
• WARRANTIES THAT ANY DEFECTS IN THE SERVICES WILL BE CORRECTED

6.3 Third-Party Content

We do not warrant or make any representations regarding third-party content, materials, information, or services available through our website. Any reliance on such content is at your own risk.

7. Indemnification

You agree to defend, indemnify, and hold harmless ScriptsHub, its directors, officers, employees, agents, partners, suppliers, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including any intellectual property or privacy right

This indemnification obligation will survive the termination of these Terms and your use of the Services.

8. Dispute Resolution and Arbitration

8.1 Informal Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at info@scriptshub.net. We will attempt to resolve the dispute within sixty (60) days of receiving your notice.

8.2 Binding Arbitration

If we cannot resolve the dispute informally, you and ScriptsHub agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services, shall be resolved exclusively through binding arbitration, rather than in court.

8.3 Waiver of Class Action

YOU AND SCRIPTSHUB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and ScriptsHub agree otherwise, the arbitrator may not consolidate more than one person's claims.

8.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.

The Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof (collectively, "Content"), are owned by ScriptsHub, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes, subject to these Terms. This license does not include the right to:

• Use data mining, robots, or similar data gathering or extraction methods
• Download (other than page caching) any portion of the Services

ScriptsHub shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond ScriptsHub's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
